1. Acceptance of Terms

By downloading, installing, accessing, or using EventGuard software ("the Software"), the EventGuard website ("the Site"), or any related services ("the Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Software, Site, or Services.

EventGuard reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Software or Site after any changes constitutes acceptance of the revised Terms.

2. Software License

EventGuard grants you a non-exclusive, non-transferable, perpetual license to install and use the EventGuard Dashboard software on a single server (identified by hostname + MAC address), subject to the following conditions:

• Unlimited Agents: You may deploy EventGuard agents on any number of monitored machines at no additional cost.
• Unlimited Database: There is no restriction on the size of the PostgreSQL database used by the Dashboard.
• Data Retention: Events are retained for a maximum of 13 months in accordance with NIST SP 800-92 standards. The Dashboard service automatically purges events older than 13 months daily.
• No Transferability: Licenses are locked to the specific Dashboard server on which they were generated. Licenses cannot be moved, copied, or reused on a different machine without purchasing a new license.

3. License Types & Billing

EventGuard offers the following license types:

• DEMO License (14 days): Free for evaluation purposes only. Not machine-locked. Full functionality included. Expires automatically after 14 days.
• FULL License (Perpetual): Paid one-time purchase. Machine-locked to a single Dashboard server. Includes unlimited agents, unlimited database size, and all future updates for the licensed major version.

No Refunds: All license purchases are final. There are no refunds or credits for unused licenses on decommissioned servers. If you decommission a server and move the Dashboard to new hardware, a new Full license must be purchased.

4. License Transfer & Migration

The following scenarios require purchase of a new license:

• Migrating the Dashboard to a different server — new hostname or MAC address triggers license invalidation
• Replacing the server hardware — new MAC address requires new license
• Running a second Dashboard instance — for disaster recovery, separate sites, or testing environments

The following scenarios do not require a new license:

• Adding more agent machines — unlimited agents included
• Upgrading hardware on the same server — same hostname + MAC
• Rebuilding the OS on the same hardware — hostname + MAC preserved

5. Prohibited Use

You may not, and may not permit others to:

• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software
• Modify, adapt, translate, or create derivative works of the Software
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use the Software for any illegal purpose or in violation of any applicable laws or regulations
• Transfer, sublicense, lease, lend, rent, or distribute the Software to any third party
• Use the Software to collect, store, or process data in violation of applicable privacy laws

6. Intellectual Property

EventGuard and its licensors retain all right, title, and interest in and to the Software, Site, and Services, including all patents, copyrights, trade secrets, trademarks, and other intellectual property rights. Nothing in these Terms grants you any right to use EventGuard's trademarks, logos, or trade names without prior written permission.

7. Data Collection & Privacy

EventGuard respects your privacy. The Software operates primarily on your infrastructure. However, EventGuard may collect:

• License validation data — server hostname, MAC address, license key status (for activation and validation purposes only)
• Usage analytics (optional) — basic telemetry to improve the Software (can be disabled in settings)
• Website usage data — cookies and analytics as described in our Privacy Policy

EventGuard does not access, collect, or store your Windows event logs. All log data remains on your infrastructure under your control.

8. Disclaimer of Warranties

THE SOFTWARE, SITE, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. EVENTGUARD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

EventGuard does not warrant that the Software will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You assume full responsibility for selecting the Software to achieve your intended results and for installing, using, and verifying the results obtained from the Software.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVENTGUARD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COSTS OF COVER, ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, SITE, OR SERVICES.

IN NO EVENT SHALL EVENTGUARD'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE OR SERVICES GIVING RISE TO THE CLAIM. FOR DEMO USERS, TOTAL LIABILITY SHALL BE ZERO ($0).

10. Indemnification

You agree to indemnify, defend, and hold harmless EventGuard and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Software, Site, or Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your collection, storage, or processing of log data

11. Termination

EventGuard may terminate or suspend your license or access to the Software and Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, you must cease all use of the Software and delete all copies of the Software in your possession.

DEMO licenses automatically terminate 14 days after activation. FULL licenses are perpetual and do not terminate except for material breach of these Terms.

12. Export Control

You agree to comply with all applicable export and import control laws and regulations, including those of the United States, and agree not to export or re-export the Software to any country or entity prohibited by law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.

14. Entire Agreement

These Terms, together with the Privacy Policy and any license agreement provided with the Software, constitute the entire agreement between you and EventGuard regarding the Software, Site, and Services, superseding any prior agreements, communications, or proposals, whether oral or written.
